General Terms and Conditions of Sale
I. General provisions

These General Terms and Conditions shall apply to cross-border legal relations between Cellpack (“the Supplier”) and the Purchaser for Deliveries and/or services provided by the Supplier (hereinafter referred to as "Deliveries"). The Purchaser’s General Terms and Conditions shall only apply if the Supplier has expressly agreed to them in writing. Concordant written declarations from both parties shall determine the scope of the Deliveries.

The Supplier reserves, without any restrictions, the right of exploitation under its ownership rights and copyrights of cost estimates, drawings and other documents (hereinafter referred to as the "Documents"). The Documents may only be made accessible to third parties with Supplier's prior consent and if the order is not placed with Supplier, shall be returned to Supplier immediately upon request. Sentences 1 and 2 shall apply accordingly to the Purchaser‘s documents; however, they may be made accessible to third parties to whom the Supplier has permissibly transferred

The Purchaser shall have the non-exclusive right to use standard software with the agreed features without any changes on the agreed devices. The Purchaser may create one backup copy of the standard software without express

II. Payment and delivery conditions

III. Transfer of Title

The ownership of the Deliveries shall not pass to Purchaser and retention of full legal and beneficial ownership of the Deliveries (Transfer of Title) shall remain with Supplier unless and until Supplier has received payment in full for the Deliveries, including all secondary costs such as interest, charges, expenses etcetera. Purchaser shall cooperate in any measures necessary for the protection of Supplier’s title. Upon entering a contract, Purchaser authorizes Supplier to enter or notify the Transfer of Title in the required form in public registers, books or similar records, all in accordance with relevant national laws, and to fulfill all corresponding formalities, at Purchaser’s cost. Transfer of Title shall mean any form of transfer / retention of title that is valid and enforceable under the law governing the underlying sales contract or the place of shipment/delivery.

Should the contractual relationship be terminated for whatever cause, Supplier shall, without prejudice to any other rights of Supplier, be entitled to require immediate re-delivery of the Deliveries for which it may invoke a Transfer of Title.

As long as title to the Deliverables remains with Supplier pursuant to this Article III, Purchaser is entitled to use the Deliverables solely to the extent required in its ordinary course of business, and, to the extent possible, shall: a) keep the Deliverables separate and in a clearly identifiable manner; b) notify Supplier immediately of any claims by third parties which may affect the Deliverables; and c) adequately insure the Deliverables. Purchaser shall further take all measures to ensure that Supplier’s title is in no way prejudiced.
IV. Delivery; Force Majeure; delays

Adherence to the delivery deadlines shall require that Purchaser supplies all necessary documents, approvals, released plans, etc. in good time as well as that the Purchaser adheres to the agreed terms of payment and other If these conditions are not met in good time, the deadlines shall be extended for an appropriate period; this shall not apply if the Supplier is responsible for the delay.

If the deadlines cannot be met due to

Force Majeure e.g. although not limited to, in cases of mobilization, war, epidemics, official delivery restrictions, material and product shortages, acts of terrorism, riots or similar events (e.g. strikes, lockouts)

viruses or other attacks by third parties on the Supplier's IT system, provided these occurred despite due diligence regarding using protective measures,
-
hindrances due to applicable national, supranational and/or international law provisions beyond the Supplier’s reasonable control, or
-
late or improper delivery to the Supplier, the deadlines shall be extended accordingly in good faith.
The Supplier shall be released from its obligation to deliver if the circumstance for which the Supplier is not responsible continues for more than four (4) weeks.

If the Supplier fails to meet the deadline, the Purchaser, provided there is evidence that damages occurred, may demand damages of 5% for each full week of delay but no more than 5% in total, of the price for the part of the Delivery that could not be used for its specific purpose due to the delay.

Purchaser's claims for damages due to delayed Delivery as well as claims for damages in lieu of performance exceeding the limits specified in IV.3 above shall be excluded in all cases of delayed Delivery, even after the time the Supplier was granted to deliver the Deliveries has lapsed. This shall not apply to cases of intent, gross negligence or injury to life, limb or health. The Purchaser may only withdraw from the contract within the scope of statutory provisions to the extent that the Supplier is responsible for the delay in delivery. VI. Installation, assembly and safety requirements
Unless otherwise agreed in writing, the following shall apply to installation and assembly:

Installation may only be carried out by experienced, trained personnel authorized to work with low voltage / medium voltage (depending on the Deliverable and its installation/assembly requirements), in accordance with the specific Deliverable documentation. The electrical safety standards applicable at the installation site of the Deliverables must always be observed, When using the Deliverables, the Purchaser is solely responsible for ensuring that its employees comply with the safety instructions in the installation manual and the statutory labor and safety regulations. To ensure satisfactory and safe use of the Deliverables, it is advisable to read the relevant user instructions carefully before installation and to ensure that the personnel responsible for installation have the necessary qualifications to use the Deliverables mentioned. Purchaser shall be solely responsible for the choice of products and services other than the Deliveries which are intended to be used in connection with Deliveries (e.g. cables and their preparation).

The Purchaser shall provide at its own costs and in good time:
-
all earthworks, construction work and other additional work from other sectors, including skilled and unskilled staff, building materials and tools required,
-
the items and materials required for assembly and start-up, such as scaffolding, hoists and other equipment, fuels and lubricants,
-
energy and water at the point of use, including connections, heating and lighting,
-
at the installation site, sufficiently large, suitable, dry and lockable rooms for storing machine parts, apparatus, equipment, tools etc. and suitable work and recreation rooms, including sanitary facilities for the assembly staff that are suitable under the respective circumstances; additionally, the Purchaser shall take the same measures to protect the property of the Supplier and the assembly staff at the building site it would take to protect its own property.

If the installation, assembly or start-up is delayed due to reasons beyond the Supplier's control, the Purchaser shall bear the costs for any waiting time and any additional necessary journeys of the Supplier or assembly staff to a reasonable extent.

The Purchaser shall furnish the Supplier with documentation verifying the weekly working hours of the assembly staff and shall promptly notify the Supplier upon completion of the installation, assembly, or start-up.

If the Supplier demands that the Delivery be accepted after completion, the Purchaser shall do so within two weeks. If the Purchaser allows the two-week deadline to lapse or if the Delivery is put into use after an agreed test period has ended, acceptance shall be deemed to have incurred.

VII. Acceptance
The Purchaser may not refuse to accept deliveries due to minor defects.
VIII. Liability and Warranty
The Supplier shall be liable for material defects as follows:

If the subsequent performance fails, the Purchaser shall have the right to withdraw from the contract or to decrease remuneration, without prejudice to any claims for damages pursuant to these General Terms and Conditions.

No claims for defects shall be asserted in the case of insignificant deviation from the agreed conditions, insignificant impairment to usability, natural wear and tear or damages caused after the transfer of risk because of incorrect or careless use, excessive use, unsuitable equipment, defective workmanship, unsuitable foundation soil or other external influences not provided for in the contract. If the Purchaser or a third party incorrectly makes changes or repairs and/or use Deliveries in conjunctions with deliverables not stemming from Supplier, no claims for damages may be asserted for those or for consequences resulting therefrom.

Claims made by the Purchaser regarding expenses required for the subsequent performance, in particular transport, travel, work and material costs, shall be excluded if the expenses are increased because the Delivery was delivered to another place than the Purchaser's location, unless this suits the intended purpose, as defined by the Supplier.

The Purchaser may not assert any claims for damages due to material defects. This shall not apply in the case of deliberate concealment of the defect, non-compliance with the quality guarantee, in the case of injury to life, limb or health, and if the Supplier violates its obligations willfully or due to gross Any changes to the burden of proof to the disadvantage of the Purchaser shall not be linked to the provisions set forth above. Any further claims or claims other than those stipulated in Art. VIII by the Purchaser due to a material defect shall be excluded.

Limited warranty: The Supplier warrants only that the Deliverable has successfully undergone tests required by mandatory applicable, statutory law provided for in technical specifications, if any. Unless expressly agreed in writing, the Supplier warrants only that the Deliverable is fit for the explicit purpose designated by the Supplier and laid down in Supplier’s technical documentation. The Supplier does not warrant for uses the Purchaser may have intended, even if the Supplier is aware of such intentions. Unless otherwise provided for in the applicable regulations, the Supplier does not warrant the conformity of the Deliverable with certain norms, industry standards or other specific technical characteristics that it has not expressly mentioned (example: requirements of an owner or manager of a public medium-voltage power distribution network). Compliance with such restrictions and/or requirements lies with Purchaser’s sole responsibility, This warranty is subject to Purchaser’s proper receipt, handling, storage, installation and use in accordance with the technical specifications and proper maintenance of the Deliverables (Article VI). IX. Intellectual property rights and copyrights; defects in title

Unless otherwise agreed, the Supplier shall provide the Delivery unencumbered of any intellectual property rights of third parties (hereinafter referred to as the "Property Rights") only in the country where delivery takes place. If third parties assert valid claims against the Purchaser due to a violation of Property Rights in connection with Deliveries provided by the Supplier and used pursuant to the contract, the Supplier shall be liable to the Purchaser within the period specified in VIII, No. 2 as follows:

At its own discretion and costs, the Supplier shall either obtain the right to use the Deliveries concerned, change the Deliveries so that the Property Rights are not violated or replace the Deliveries. If this is not feasible for the Supplier under reasonable conditions, the Purchaser shall be entitled to make use of its statutory right to withdraw from the contract or to reduce the price.

X. Limitation of liability _

The Supplier’s liability for intent and gross negligence is unlimited.

Liability for damages caused by slight negligence is excluded.

The Supplier’s total liability arising out of or in connection with the sale is capped at the net Invoice value of the Deliverables concerned.

For direct damages, liability only for foreseeable, typical damages. No liability for (i) indirect, special and consequential damage, (e.g. loss of production, loss of data, loss of profit), (ii) damage due to actions / omissions of the customer or third parties, (iii) normal wear and tear, (iv) suitability for certain purposes outside the purpose defined by Supplier, (v) marketability, (vi) use in conjunction with products not stemming from the Supplier.

Subject to mandatory provisions of applicable product liability legislations such as the Product Liability Act, liability for personal injury remains unaffected.

All limitations of liability mentioned also apply in favor of Supplier's auxiliary persons
XI. Place of Jurisdiction, Arbitration, Applicable Law, Languages

If the Buyer is located within the European Union (EU) or the European Economic Area (EEA), the exclusive place of jurisdiction for all disputes arising out of or in connection with the contractual relationship shall be Zurich, Switzerland.

For Buyers located outside the EU and EEA, all disputes arising out of or in connection with the contractual relationship shall be finally settled under the Swiss Rules of International Arbitration of the Swiss Arbitration Centre by one or more arbitrators appointed in accordance with the said Rules. The seat of arbitration shall be Zurich, Switzerland. The language of the arbitration shall be English.

Supplier, however, remains entitled to choose jurisdiction as under Article XI.2 or to sue the buyer in the courts in whose district its head office is situated.

1. General Provisions - Scope
- Unless otherwise agreed in writing, the following Terms and Conditions of Purchase, as amended from time to time, shall apply exclusively to all of our purchase orders and/or to all deliveries of goods and services by our suppliers or service providers (hereinafter referred to collectively as delivery). The terms and conditions of the supplier or service provider (hereinafter referred to collectively as “Supplier”) only apply insofar as we have agreed to their application in writing. Our Terms and Conditions of Purchase also apply exclusively even if we accept or pay for the delivery without reservation in the knowledge that the Supplier’s terms and conditions conflict with or differ from our own.

The use of our company name, trademark, lettering or other protected identifiers for any purpose other than purely for performance of the contract requires prior written consent.
3. Prices - Payment Terms - Set-off/Right of Retention
- Invoicing shall take place no earlier than the time of delivery of the product, including all contractually relevant documents, and/or - where an approval is required - the time of approval of the service, otherwise at the time of performance of the Invoices must be sent by e-mail with an attachment in PDF format to the invoice address: Invoice_0051@cellpack.com They must not be enclosed with the goods.

The order number must be indicated or, if the order number is unknown, the e-mail address of the contact person/purchaser. Invoices that fail to comply, in whole or in part, with the necessary formalities cannot be processed and will be rejected.
- Unless otherwise agreed, payments will be made at our discretion within 30 days net without deduction or within 14 days with a 3% discount, provided we have no complaints about the delivered goods/service. The payment period commences on receipt by us of the proper invoice and all necessary documents (e.g. certificates of material tests). - The dates and times of delivery / performance specified in our purchase order are agreed as binding unless the Supplier has expressly objected to them in writing or we have agreed different dates with the Supplier in writing. Compliance with the agreed dates is determined by receipt of the goods at the destination specified by us and/or - where an approval is required - the time of successful approval, otherwise at the time of performance of the service
- The Supplier is only entitled to effect partial delivery of goods and services with our written consent. Acceptance of over-deliveries of goods or services and/or - where an approval is required - their approval, shall be at our sole, freely exercised discretion.
- In the case of premature delivery of goods or services, we may refuse acceptance of the goods or services and/or - where approval is required - their approval, at the Supplier’s expense and risk. If we accept delivery of the goods or services and/or - where approval is required - approve them, the Supplier shall reimburse us for any additional costs resulting therefrom (e.g. storage costs, insurance costs).
- The Supplier is obliged to inform us, in writing and without undue delay, if circumstances arise, or become apparent to the Supplier, indicating that it will not be possible to effect performance, in whole or in part, within the prescribed The Supplier must inform us without undue delay of the reasons for the delay and the likely duration. The Supplier’s obligation to effect on-time delivery of goods and/or services remains unaffected by this. - We are entitled to stipulate the shipping method and carrier. Insofar as we have to bear the transport costs, in accordance with the contractual agreement, the most favourably priced transport option for us shall be chosen for the delivery.
- Unless otherwise agreed with the Supplier, delivery within the European Union (EU) or the Schengen area, must take place FCA named place of delivery Incoterms® 2020; deliveries from third countries must take place FOB named port of loading Incoterms® 2020.
- Every delivery must be accompanied by delivery notes containing our order number, our order reference, our item number, the type of packaging as well as the quantity and weight of the delivery. The Supplier must observe the requirements regarding the procedure for delivery to our business premises.
- The Supplier has not fulfilled its delivery obligations until we have received the proper delivery and shipping documents pursuant to Clause 8. Until then, we are entitled to place the delivery into storage at the Supplier’s expense and risk.
- Title to the delivered goods shall pass to us upon handover. We will not recognise any prolongation or extension of the retention of title by the Supplier.

5. Claims under Warranty
- The Supplier warrants that the delivery is free of legal or material defects at the time of handover to us or our customer, and complies with the latest state of the art, the relevant legal (national as well as European) provisions (in particular but not exclusively the requirements for technical safety, occupational health and safety, accident prevention and environmental and fire protection) and the regulations and guidelines of the authorities, professional and trade associations as well as the mandatory functions and specifications. If there are varying versions of these standards, the German version shall take precedence.
- The Supplier is obliged to carry out an outgoing goods inspection. Following receipt, we will inspect the goods, based on a comparison of the delivery documents (delivery note and/or packing list) with the order documents, as regards identity and quantity, and randomly as regards obvious defects and externally visible transport damage. There is no further obligation to examine the goods. We will report any other defects to the Supplier without undue delay following their discovery. In this regard, the Supplier waives its defence of late notification of defects. In the event that we conclude a separate agreement with the Supplier, which diverges from this, such as in the context of a Quality Assurance Agreement (QAA), the provisions therein shall take precedence.
- In case of defects, we are entitled to require rectification of defects or replacement delivery, at our own In case of urgency or following the unsuccessful expiry of a reasonable extension of time, we are also entitled, at the Supplier’s expense, to rectify the defects ourselves, have them rectified by a third party or to obtain a replacement elsewhere.
- The Supplier is obliged to bear all expenses for the purpose of rectification of defects, in particular also the costs of removal and installation, or of replacement delivery at the respective place of use of the We will inform the Supplier of the place of use on request.

6. Product Liability - Indemnification - Liability Insurance Cover
- Where claims are brought against us by a customer or other third party based on product liability, the Supplier is obliged to indemnify us at our first written request against such claims if and insofar as the damage was caused or partly caused by a defect in the product supplied by the Supplier; and the Supplier is obliged to actively support us in defending such claims. For this purpose, the Supplier must retain all documents relating to the delivery in accordance with the statutory requirements as from receipt of the delivery by us. 7. Intellectual Property
- The Supplier warrants that no third party intellectual property rights are infringed in connection with its delivery - including in the country of use.
- In the event that we are subject to third-party claims for infringement of intellectual property rights in connection with the delivery, the Supplier is obliged to indemnify us against such claims upon the first written request. The duty to indemnify relates to all expenses incurred by us from or in connection with such third-party claims.

- Where the Supplier’s staff or agents carry out work in performance of the contract, on our premises or those of our customers, they must observe the accident prevention regulations and all other provisions relating to safety as well as the respective company rules. They are not permitted to commence work without knowledge of these regulations.
- Assembly and installation work is subject to approval. 10. Foreign Trade Law / Export Restrictions
- The Supplier must inform us without undue delay if a delivery is subject, in whole or in part, to export restrictions under German or any other applicable law. Insofar as the granting of an export licence is necessary for delivery to us, the Supplier shall be responsible for obtaining such licence.
- The Supplier is obliged to submit supplier declarations within the meaning of EC Regulation 1207/2001 and to confirm the preferential status of the products. 11. Social Responsibility

12. Environmental Provisions
- The Supplier guarantees that Deliveries comply with the statutory provisions, the latest state of the art and the agreed product specifications. This includes, in particular, compliance with the Product Safety Act, the provisions on the CE symbol, the Electrical and Electronic Equipment Act, the Ordinance restricting the use of hazardous substances in electrical and electronic equipment, and Directives 2011/65/EU (RoHS) and 2012/19/EC (WEEE2) as well as other laws, regulations and other provisions enacted for their implementation in the Federal Republic of Germany. The Supplier shall inform us in writing, without undue delay and of its own accord, if a product that has been ordered or already delivered contains - for whatever reason - such substances, and indicate the concentration in percent by mass.
- The Supplier undertakes to supply the delivery item in accordance with the provisions of Regulation (EU) 2017/821 of 17 May 2017 laying down supply chain due diligence obligations for Union importers of tin, tantalum and tungsten, their ores, and gold originating from conflict-affected and high-risk areas and with Section 1502 of the US Dodd-Frank Act. The Supplier additionally undertakes to identify the use of so-called "conflict minerals” (tin, gold, tantalum and tungsten) in its supply chain and to take appropriate measures to ensure that the delivery item does not contain any conflict minerals in accordance with Regulation (EU) 2017/821 of 17 May 2017 and Section 1502 of the US Dodd-Frank Act. If products delivered by the Supplier nevertheless contain conflict minerals, the Supplier is obliged, by submitting the CMRT (Conflict Minerals Reporting Template, see http://www.conflictfreesmelter.org/conflict-minerals- reporting-template/), to provide us with all relevant information by no later than the date of delivery. The Supplier is also obliged to submit an annual update of the CMRT (Conflict Minerals Reporting Template) to Purchasing by the end of the 1st quarter.
- The Supplier is obliged to ensure compliance with the environmental regulations under Clause 12 by means of suitable contractual arrangements with its sub-suppliers.
13. Data Privacy
- The collection, processing, use, sharing and storage of personal data, required in the context of the performance of the contract, must be carried out by the Supplier in compliance with the statutory provisions.
14. Quality Management / Quality Assurance
- The Supplier shall maintain a quality management system (QM system) pursuant to DIN EN ISO 9001 et or a comparable QM system that is suitable in terms of type and scope. The Supplier shall describe its QM system in a suitable manner and provide us with evidence thereof upon request. In the event of certification of the QM system, the QM certificate will be made available to us. When the validity expires, the Supplier will provide us with the new certificate of its own accord.
- The Supplier must keep regular records of the quality inspections which it carries out and make them available to us at short notice upon The Supplier’s QM system also provides for corrective action if deviations or potential errors are discovered in the system.
- The Supplier shall conclude a corresponding quality assurance agreement (QAA) with us if we consider this to be necessary.
- The Supplier shall oblige its sub-suppliers to establish and maintain a QM system at least in accordance with the provisions of Clause 14 (1), which ensures the defect-free quality of its purchased and / or externally finished parts. We may require documentary proof from the Supplier that the Supplier has satisfied itself of the efficacy of the QM system put in place by its sub-suppliers.

- Where quality problems arise that are caused by parts or upstream products, the Supplier shall, following prior notice, arrange for us or our customer to carry out an audit of its sub-suppliers.
- The Supplier shall ensure the traceability of its products at all times. In addition, the Supplier shall take appropriate measures to ensure that, in the event of a defect in one of its products, it is able to determine, without undue delay, which other products may be affected.
15. Written Form, Place of Performance, Jurisdiction and Applicable Law
